#Board refreshment isn’t an HR function anymore; it’s a performance imperative
New data from the Heidrick & Struggles Board Monitor 2025 report reveals a startling reality: only 47% of CEOs & directors are confident their current board refreshment practices position them well for the future.
In today’s volatile landscape, boards are under immense pressure to not just oversee the present business, but actively shape the enterprise’s future
The key takeaway?
Boards that approach refreshment as a strategic, ongoing discipline are significantly more likely to report they are well-positioned for the future & poised to outperform 📈 their peers over time
The Disconnect in Boardroom Strategy
The survey found that the majority of boards are reactive or traditional in their approach:
- Only 28% are “strategic board refreshers” who prioritize renewal & act accordingly
- A massive 52% recognize the importance but allow other priorities to overshadow it
- 19% don’t see it as a priority at all
Boards that defer refreshment risk falling out of sync with strategic shifts, retaining underperformers, & missing critical opportunities for renewal
Stagnation, in short, is the enemy of sustained performance
Shifting from Ritual to Strategy
Strategic refreshers don’t wait for retirements or external pressure; they treat board composition as dynamic & continuously evaluate skills & perspectives relative to the business they are building
They prioritize:
- Making board refreshment a continuous, proactive process
- Actively building relationships with potential directors in advance
- Improving transparency with stakeholders about the process
This proactive approach also offers a secondary benefit: it helps reduce exposure to costly 6 time-consuming activist campaigns. 👉🏼 Boards that fail to demonstrate refreshment discipline are more vulnerable to critique & less able to credibly defend their position
The message is clear: treat board refreshment like daily hygiene, not emergency surgery
